By accessing or using the Website, you agree to these Terms. If you use the Website on behalf of an organisation, you represent that you are authorised to bind that organisation. If you do not agree, do not use the Website.

Client platforms, paid products, commissioned research, data, APIs and professional services are governed by the relevant proposal, subscription, licence, services or other written agreement. Those terms prevail over these Terms to the extent of any inconsistency.

Website content is provided for general information and discussion only. It is not financial product advice, investment advice, legal advice, accounting advice, engineering advice, climate or energy certification, or a recommendation to take or refrain from any action.

Vyzrd analyses may discuss scenarios, estimates, forecasts, modelled outcomes, AI-assisted outputs and forward-looking information. These depend on assumptions, data quality, methodology, uncertainty and conditions that may change. Actual outcomes may differ materially. Website content does not replace independent professional judgement, verification, due diligence or advice tailored to your circumstances.

You are responsible for evaluating the relevance, accuracy and suitability of information before relying on it or making a commercial, investment, policy, operational or other decision.

Subject to these Terms, Vyzrd grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Website for lawful internal business or personal informational purposes.

You may link to the Website in a fair and lawful manner that does not imply Vyzrd sponsorship, endorsement or affiliation. We may require a link to be removed if it is misleading, unlawful or damaging to Vyzrd or another person.

You must not, and must not assist another person to:

Vyzrd, climaTick^™, APEx^™, ESG-Connect^™, PortIQ^™, PolicyIQ^™ and associated names and marks may not be used without prior written permission.

No right, title or licence is granted except for the limited Website-use right expressly stated in these Terms. You may not reproduce, publish, distribute, commercialise, modify or exploit Website content except as permitted by law or with our prior written consent.

If you provide feedback or suggestions, you grant Vyzrd a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or obligation, provided we do not identify you publicly without permission.

The Website may refer or link to third-party data, research, products, services or websites. They remain subject to their own terms and privacy practices. Links are provided for context or convenience and do not necessarily constitute endorsement.

Vyzrd does not control and is not responsible for third-party content, availability, security or practices. You access third-party resources at your own discretion and should conduct appropriate checks.

We may update, correct, withdraw, suspend or discontinue any part of the Website without notice. We do not promise that the Website will always be available, uninterrupted, secure, error-free or compatible with every device or system.

Content may become out of date. Unless we expressly state otherwise, Vyzrd has no obligation to update public Website content or preserve any particular feature.

Nothing in these Terms excludes, restricts or modifies a right, guarantee, warranty or remedy that cannot lawfully be excluded, including any applicable rights under the Australian Consumer Law.

To the maximum extent permitted by law, the Website is provided on an “as is” and “as available” basis. Vyzrd excludes all implied warranties and does not warrant the accuracy, completeness, currency, fitness for purpose or non-infringement of Website content.

To the maximum extent permitted by law, Vyzrd and its officers, employees, contractors and affiliates are not liable for indirect, incidental, special, exemplary or consequential loss, loss of profit, revenue, opportunity, goodwill, data or anticipated savings, or decisions made in reliance on Website content, whether arising in contract, tort (including negligence), statute or otherwise.

Where liability cannot be excluded but may be limited, it is limited, at Vyzrd’s option and where lawful, to supplying the relevant service again or paying the cost of having it supplied again.

To the extent permitted by law, you indemnify Vyzrd against third-party claims, losses and reasonable costs arising directly from your unlawful use of the Website, material breach of these Terms or infringement of another person’s intellectual-property or privacy rights. This obligation does not apply to the extent a loss was caused by Vyzrd’s negligence, fraud or wilful misconduct.

Our Privacy Policy explains how we handle personal information, and our Cookies Policy explains how the Website uses cookies and similar technologies. Those policies form part of the Website’s governance framework but do not create contractual rights beyond those provided by applicable law.

We may update these Terms by publishing a revised version and effective date. Continued use after publication means the revised Terms apply from that date. Material changes will be communicated through an appropriate channel where required.

If any provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions continue. A delay in exercising a right is not a waiver. These Terms are governed by the laws of New South Wales, Australia. Subject to any mandatory law, the courts of New South Wales and courts entitled to hear appeals from them have exclusive jurisdiction.
